Software as a Service User Agreement

Effective Date: January 1, 2026

This Software as a Service User Agreement ("Agreement") is entered into between Valortek Inc., a corporation ("Company," "we," "us," or "our"), and the individual or entity accessing or using our services ("User," "you," or "your").

1. Acceptance of Terms

By accessing, downloading, or using the Valortek software applications and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not use our Services.

2. Description of Services

Valortek provides cloud-based software solutions designed for small operational service businesses, including:

  1. Operations Application: Field service scheduling, invoicing, job management, and customer relationship management tools.
  2. Finance Application: Tax planning, cash flow forecasting, budget tracking, and financial reporting capabilities.
  3. Related Services: Customer support, data storage, software updates, and technical maintenance.

3. Account Registration and Eligibility

  1. You must create an account to access our Services by providing accurate, current, and complete information.
  2. You must be at least 18 years old and have the legal capacity to enter into this Agreement.
  3. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
  4. You must immediately notify us of any unauthorized use of your account.

4. Subscription Plans and Payment

  1. Subscription Tiers:
    • Operations Application: $99.00 per month
    • Combined Operations and Finance Applications: $149.00 per month
  2. All fees are due in advance on a monthly basis and are non-refundable except as expressly provided in this Agreement.
  3. We reserve the right to modify our pricing with thirty (30) days advance notice.
  4. Late payments may result in service suspension after a five (5) day grace period.
  5. You authorize us to charge your designated payment method for all applicable fees.

5. Free Trial Period

  1. New users may be eligible for a free trial period as specified during registration.
  2. During the trial period, you have access to the full functionality of the selected application tier.
  3. Your subscription will automatically convert to a paid plan unless you cancel before the trial period expires.

6. Acceptable Use Policy

You agree not to:

  1. Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
  2. Attempt to gain unauthorized access to our systems or other users' accounts.
  3. Distribute malware, viruses, or other harmful code through the Services.
  4. Reverse engineer, decompile, or attempt to extract source code from our software.
  5. Use automated systems to access the Services without prior written consent.
  6. Share account credentials or sublicense access to the Services.
  7. Use the Services to compete with Valortek or develop competing products.

7. Intellectual Property Rights

  1. Valortek retains all right, title, and interest in the Services, including all software, technology, and intellectual property.
  2. You retain ownership of your business data uploaded to or created through the Services.
  3. You grant us a limited license to use your data solely for providing the Services and improving our offerings.
  4. We grant you a non-exclusive, non-transferable license to use the Services during your active subscription period.

8. Data Security and Privacy

  1. We implement industry-standard security measures to protect your data.
  2. Our collection and use of your personal information is governed by our Privacy Policy, incorporated herein by reference.
  3. You are responsible for maintaining backup copies of your critical business data.
  4. We perform regular automated backups but do not guarantee data recovery in all circumstances.

9. Service Availability and Support

  1. We strive to maintain 99.5% uptime but do not guarantee uninterrupted service availability.
  2. Scheduled maintenance will be announced with reasonable advance notice.
  3. Customer support is provided during standard business hours (Monday-Friday, 8:00 AM - 6:00 PM Mountain Time).
  4. Emergency support may be available for critical issues affecting business operations.

10. Limitation of Liability

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
  2. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  3. WE DISCLAIM ALL WARRANTIES EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT.

11. Indemnification

You agree to indemnify and hold harmless Valortek, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of this Agreement.

12. Termination

  1. Either party may terminate this Agreement with thirty (30) days written notice.
  2. We may immediately suspend or terminate your access for breach of this Agreement.
  3. Upon termination, your access to the Services will cease, and you may request export of your data within sixty (60) days.
  4. Provisions regarding intellectual property, limitation of liability, and indemnification shall survive termination.

13. Modifications to Agreement

We may modify this Agreement by providing thirty (30) days advance notice. Continued use of the Services after such notice constitutes acceptance of the modified terms.

14. Governing Law and Dispute Resolution

  1. This Agreement is governed by the laws of the State of Idaho, without regard to conflict of law principles.
  2. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.
  3. Arbitration proceedings shall take place in Denver, Colorado.

15. General Provisions

  1. This Agreement constitutes the entire agreement between the parties regarding the subject matter herein.
  2. If any provision is found unenforceable, the remainder of the Agreement shall remain in full effect.
  3. Our failure to enforce any provision does not waive our right to enforce it later.
  4. This Agreement may not be assigned without our prior written consent.
